Terms of Service

By accessing and using MindMonk Media's website and services ("Services"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, please do not use our services.

MindMonk Media provides wellness-focused media production and marketing services in Las Vegas, Nevada. Our services include but are not limited to:

• Wellness brand photography and videography
• Yoga studio and meditation center documentation
• Content creation and digital marketing strategy
• Brand development and conscious marketing consulting
• Social media content production
• Website design and wellness brand optimization

Client Responsibilities

As our client, you agree to:

• Provide accurate and complete information about your wellness business
• Use our services in compliance with all applicable laws and regulations
• Respect intellectual property rights and obtain necessary permissions
• Maintain confidentiality of any login credentials or access information
• Cooperate in good faith during project development and execution
• Provide timely feedback and approvals as outlined in project agreements
• Ensure appropriate releases and permissions for all participants in photo/video content

Intellectual Property Rights

Our Content and Methods

All content, materials, and intellectual property on our website and in our marketing materials, including but not limited to text, graphics, logos, images, and proprietary methodologies, are owned by MindMonk Media or our licensors and are protected by copyright and other intellectual property laws.

Your Content and Brand

You retain ownership of your wellness brand, business information, and any content you provide to us. By engaging our services, you grant us a limited license to use your content solely for the purpose of providing our agreed-upon services.

Work Product and Deliverables

Upon full payment of all fees due, you will own the final work product created specifically for you as part of our services, including photographs, videos, and marketing materials. We retain the right to use completed work in our portfolio and marketing materials unless otherwise specified in writing.

Payment terms will be specified in individual service agreements. Generally:

• Project deposits are typically 50% due upon contract signing
• Final payment is due within 14 days of project completion
• Late payments may incur a 1.5% monthly service charge
• Services may be suspended for non-payment after 30 days
• All fees are non-refundable once work has commenced unless otherwise agreed in writing
• Travel expenses for shoots outside Las Vegas metropolitan area will be billed separately

We will make reasonable efforts to deliver services according to agreed timelines and specifications. However, service delivery may be affected by factors beyond our control, including but not limited to:

• Client responsiveness and approval timelines
• Weather conditions for outdoor shoots
• Third-party dependencies (venues, equipment, permits)
• Force majeure events (natural disasters, pandemics, etc.)

To the fullest extent permitted by Nevada law, MindMonk Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services.

Our total liability for any claims arising from or related to our services shall not exceed the total amount paid by you to us for services in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless MindMonk Media and its founders, Stefan Sevilla and Lucas Patyk, from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship, including wellness business strategies, client lists, and proprietary methodologies. This obligation shall survive termination of our services.

Termination

Either party may terminate our services with written notice as specified in individual service agreements. Upon termination:

• All outstanding fees become immediately due
• Each party will return or destroy confidential information
• Work completed to the point of termination will be delivered upon final payment
• Provisions regarding intellectual property, confidentiality, and limitation of liability shall survive

Dispute Resolution

Any disputes arising from these terms or our services shall first be addressed through good faith negotiation. If resolution cannot be reached, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association in Las Vegas, Nevada.

Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions.

Changes to Terms

We reserve the right to modify these terms at any time. We will notify clients of any material changes by posting the updated terms on our website and sending email notification to active clients. Your continued use of our services after such changes constitutes acceptance of the new terms.

Severability

If any provision of these terms is found to be unenforceable or invalid under Nevada law, the remaining provisions shall remain in full force and effect.
